Cold Email Infrastructure Plan — Terms & Conditions

Provider: Charles Cormier, GTM Ventures (dba Acumen Synergy Ltd)

Effective Date: Upon receipt of $2.1K USD via Wise

Reference: Cold Email Infrastructure Setup (One-Time Payment)

1. Scope of Work

Upon payment, the following services will be provided:

  • Setup of 30 fully warmed mailboxes (across multiple alt-domains, hosted and maintained by Provider)
  • Full cold email infrastructure using tools like Instantly, SendGrid API, Namecheap/Cpanel
  • One custom cold outreach campaign created and launched, based on provided ICP and offer
  • 1.5-hour private call with Charles Cormier (strategy + setup walkthrough)
  • Access to 10+ GPT agents (e.g., CloseGPT, PainPointGPT, ICPGPT, etc.) — provided upon request
  • Loom tutorials + CSV templates for scaling infrastructure independently
  • Invite to a private WhatsApp group for clients (for early automation tools, agent access, and peer support)

Delivery begins upon payment.

2. Payment Terms

  • One-time fee of $2.1K USD, payable via Wise to Acumen Synergy Ltd
  • No subscription or auto-renewal
  • Payment confirms acceptance of these terms

3. Refund Policy

  • Payment is non-refundable once infrastructure setup begins
  • Refunds may only be considered in the event of complete non-delivery of the services listed above
  • No partial refunds under any circumstances

4. Client Responsibilities

  • Provide ICP details, value prop, and strategic input within 3 business days of payment
  • Respond promptly to requests during setup period
  • Use the infrastructure ethically and within legal boundaries (CAN-SPAM, GDPR, etc.)

5. Ownership & Usage Rights

  • Mailboxes, domains, and GPT agent infrastructure remain property of Provider
  • Client receives full usage rights over all leads, copy, campaigns, and strategic outputs generated during this engagement
  • GPT access is non-exclusive, and prompts are not to be redistributed

6. Confidentiality

Both parties agree to maintain confidentiality over proprietary systems, prompts, documents, and strategies shared during the engagement.

7. Jurisdiction

This agreement is governed by the laws of Quebec, Canada. Disputes will be resolved first via negotiation, and if unresolved, through arbitration.

8. Acceptance

By submitting payment via the Wise link, the purchaser agrees to these terms in full. This contract is considered legally binding without signature.
